These Terms and Conditions ("Terms") govern the use of the marketing campaign services ("Service") provided by imreward to merchants, e-commerce platform owners, and other businesses ("Merchant," "you," or "your") who integrate our services into their online platforms. By using any of our campaigns, including but
not limited to Spin Wheel, Scratch and Win, and Raffles, you agree to comply with these Terms. Please review them carefully.
1. Eligibility
- 1.1. The Service is available to legally registered businesses operating an e-commerce website, platform, or other online sales channels.
- 1.2. You are responsible for ensuring that your use of our Service complies with applicable local, state, federal, and international laws and regulations, including, but not limited to, consumer protection laws, data protection laws, and e-commerce regulations.
2. License and Use of Service
- 2.1. imreward grants you a non-exclusive, non-transferable, revocable license to integrate and use our marketing campaign tools, including but not limited to Spin Wheel, Scratch and Win, and Raffle campaigns, on your e-commerce platform.
- 2.2. You are responsible for configuring the design, rules, and rewards of each campaign, in accordance with the options and guidelines provided by imreward.
- 2.3. You must clearly disclose the terms of participation for each campaign (such as Spin Wheel, Scratch and Win, or Raffles) to your customers, including any eligibility criteria, reward structures, expiration dates, and usage conditions for rewards.
3. Merchant Responsibilities
- 3.1. Customization: You may customize the appearance and content of the campaigns to match your branding, provided that such customization complies with the guidelines provided by imreward.
- 3.2. Reward Fulfillment: You are responsible for managing and fulfilling all rewards (e.g., discounts, coupons, products) distributed through the campaigns you run on your platform.
- 3.3. Compliance: You are solely responsible for ensuring that any promotions, rewards, and terms associated with campaigns are lawful and comply with all applicable regulations in your operating jurisdiction, including but not limited to gaming and lottery laws (where applicable).
- 3.4. Communication: You must communicate all campaign terms clearly to participants (i.e., your customers), including reward expiration dates, any exclusions or limitations on rewards, and how to claim them.
4. Data Collection and Privacy
- 4.1. imreward collects personal data through its Service, such as customer names, email addresses, or other relevant data, and you are required to ensure that all data collection complies with applicable data privacy laws (e.g., GDPR, CCPA).
- 4.2. You are responsible for disclosing to your customers how their data will be used in connection with the campaigns, including how data may be shared between imreward and your business.
- 4.3. You agree to protect customer data and not to misuse it for unauthorized purposes, and to comply with all applicable privacy regulations and your own privacy policy.
5. Fees and Payment
- 5.1. Use of the Service may be subject to subscription fees, usage fees, or other charges depending on the pricing plan you select. All fees are non-refundable unless explicitly stated.
- 5.2. Fees are due in accordance with the payment terms agreed upon at the time of subscription or purchase. Late or unpaid fees may result in suspension or termination of access to the Service.
- 5.3. imreward reserves the right to modify pricing at any time, with reasonable notice provided to existing users of the Service.
6. Campaign-Specific Terms
- 6.1. Spin Wheel: Participants spin a virtual wheel for a chance to win rewards such as discounts, free products, or special offers. You determine the probability of specific rewards and manage their fulfillment.
- 6.2. Scratch and Win: Participants engage in a virtual "scratch card" experience for a chance to reveal prizes. As the Merchant, you control the prize pool and probability of winning.
- 6.3. Others: Participants can enter into a game for a chance to win larger or more exclusive rewards. Campaigns may require specific legal consideration depending on your jurisdiction. It is your responsibility to ensure that the campaign comply with local laws regarding lotteries and prize draws.
7. Legal Compliance and Responsibility
- 7.1. You are solely responsible for ensuring that all campaigns, including but not limited to raffles, lotteries, sweepstakes, and other prize draws, comply with applicable legal standards in your jurisdiction. This includes, but is not limited to, compliance with lottery laws, gaming regulations, and promotional regulations.
- 7.2. You must ensure that your promotions do not violate any local, national, or international laws that govern commercial promotions, contests, or raffles. You agree to indemnify imreward for any legal claims or penalties arising from non-compliant campaigns.
8. Termination and Suspension
- 8.1. imreward reserves the right to terminate or suspend your access to the Service at any time, with or without notice, if you breach these Terms, violate applicable laws, or engage in activities harmful to the reputation or operation of imreward.
- 8.2. Upon termination, you must immediately cease all use of the Service and remove all campaign functionalities from your platform.
- 8.3. Termination does not absolve you from any outstanding payment obligations.
9. Indemnification
- 9.1. You agree to indemnify, defend, and hold harmless imreward, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from or related to your use of the Service, including any violation of laws, misuse of the Service, or failure to comply with these Terms.
10. Limitation of Liability
- 10.1. imreward is not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, business interruption, or loss of data arising from your use of the Service.
- 10.2. imreward does not guarantee any specific results from the use of its campaigns and will not be held liable for any financial losses or damages incurred through the use of the Service.
- 10.3. In no event will the total liability of imreward exceed the amount paid by you to us for the Service in the preceding 12 months.
11. Modification of Terms and Service
- 11.1. imreward reserves the right to modify these Terms and the features of the Service at any time. Notification of any material changes will be provided via email or posted on our website.
- 11.2. Continued use of the Service after such changes will constitute your agreement to the updated Terms.
12. Governing Law and Dispute Resolution
- 12.1. These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.
- 12.2. Any disputes arising under or related to these Terms shall be resolved in the High Courts of Malaysia, and both parties consent to the jurisdiction of such courts.
